Preambule

These General Terms of Use of the FURIOUS software in SaaS mode (hereinafter referred to as the “Terms”) apply to Clients from their effective date and replace previous versions.

The Client, having been informed of the potential, purpose, functionalities, standard nature, and operational mode of the SaaS service identified in the quote, and after having the opportunity and sufficient time to request a detailed presentation of the Software from FURIOUS, has decided to use it. The Client acknowledges having received all the information and advice necessary to fully understand FURIOUS’s offer and has ensured that the Software meets their needs.

It is the Client’s responsibility to ensure:

  • the suitability of the Software for their specific needs, based on the information provided in the documentation presented to them;
  • they have the necessary expertise to access the Services and use the software;
  • they have sufficiently dimensioned bandwidth and network access to access the Software following FURIOUS’s prerequisites.

The Client must verify, in accordance with professional standards, the results obtained using the Software.

These General Terms of Use (the “Terms”) aim to define the rights and obligations of the Parties regarding access to the Services and/or the use of the Software . Any access to the Services and/or use of the Software implies knowledge of the Terms and results in their irrevocable and unconditional acceptance.

The Terms cover, on the one hand, the conditions of access to the Services and, on the other hand, the corrective maintenance of the Software during the contract term, as well as the telephone support reserved for the trained Administrator.

The Contract is concluded for a period of one (1) year from the invoice date sent to the Client, unless otherwise specified in the Contract. The Contract is tacitly renewed for successive periods of twelve (12) months on each anniversary date unless terminated by either Party by registered letter with acknowledgment of receipt at least three (3) months before the end of the current period.

Access to the Software is only possible through the Internet network and requires a prior connection to the network at the Internet address provided to the Client. The Client is solely responsible for their Internet connection and all associated costs, including telephone communications.

The number of authorized Users corresponds to the number of subscribers defined in the order form. Each User has their own login (code and password). Access management is handled by the Administrator:

– Creating Users and associated logins (within the limit of the number of users defined in the Contract).
– Deleting or modifying logins.
– Managing security rules and access rights for each User.

Access methods for each User:

As access codes to the Software are determined by the Client, FURIOUS cannot be held responsible for any loss or damage resulting from access to the Software by a User or a third party not designated by the Client.

In this context, the Client undertakes, both in their name and on behalf of the Users they have designated, to immediately inform FURIOUS of any use of the Software access codes they deem fraudulent.

FURIOUS commits to employing all available means to ensure the continuity and quality of the Services.

In the event of a network incident, FURIOUS will use all available means to restore access to the Services as quickly as possible.

For technical reasons, FURIOUS reserves the right to temporarily interrupt all or part of the Services, subject to a four (4) calendar day notice. Scheduled interruptions will be, as much as possible, outside of office hours (9:00 AM to 6:00 PM Paris time). In any case, they will not exceed four (4) consecutive hours during office hours and days.

The right to use the Software is granted by FURIOUS to the Client for the duration of the Contract.

The Software must be used in accordance with the provisions of the Contract, as well as the usage, security, and operational guidelines contained in the Documentation presented to the Client.

The Software must be used according to its intended purpose, solely for the Client’s needs, within the agreed number of Users. The Client undertakes to request an additional quote from FURIOUS if they need to create users beyond the maximum number specified in the Contract. In the event of a breach of the maximum number of Users specified in the Contract, if this option is retained, the Client will immediately owe FURIOUS an additional fee at the current rate.

Any use not expressly authorized by FURIOUS under the Contract is unlawful, according to Article L.122-6 of the French Intellectual Property Code.

It is particularly prohibited for the Client to:

· use the Software or Documentation in any way to design, create, distribute, or market a similar, equivalent,
or substitute software.

· make the Software or Documentation available, directly or indirectly, to a third party, including through rental, transfer, or loan, even free of charge, or to entrust it to any provider within the framework of outsourcing, except with FURIOUS’s prior written consent.

· use the Software for unauthorized processing not approved by FURIOUS.
